SCA Upfitter Certification and Liability Release Agreement

1. Certification and Training Acknowledgment

By signing this document, Customer certifies that:

1. Customer has successfully completed the CF Maier Systems Inc. / SCA Roofs Installation Training Program required for certification as an SCA Upfitter.
2. Customer acknowledges receipt of all applicable installation manuals, safety procedures, and handling instructions.
3. Customer agrees to follow all proper handling, storage, and installation procedures as instructed by CF Maier Systems Inc. and SCA.
4. Customer understands that certification as an SCA Upfitter is contingent upon compliance with Company procedures, and that certification may be revoked if procedures are not followed.

2. Warranty Conditions

Company warrants that the Products sold hereunder will be free from defects in material and workmanship for one (1) year after shipment EXW, under normal and proper use and service.

This warranty and the remedies for breach of warranty extend only to the original installation and do not cover, and Company shall not be liable for:

• (i) Abnormal wear and tear or damage caused by improper or contrary installation, maintenance, or use.
• (ii) Storage of Products in wet, damp, or unprotected environments.
• (iii) Acts beyond the control of Company, including fire, wind, hail, flood, lightning, or other acts of God.
• (iv) Repairs or modifications made by anyone other than Company-authorized personnel.
• (v) Damage to the finish of the Products after leaving Company's facility.
• (vi) Discoloration, staining, or spotty appearance of the Products.

Items repaired or replaced under warranty are warranted only for the remainder of the original warranty period.

All product literature is for illustrative purposes only and does not contain a warranty of any kind. Any technical advice or information provided by Company is non-binding.

3. Limitation of Liability and Indemnification

CF Maier Systems Inc. and SCA assume no liability whatsoever for any damages, direct or indirect, arising from installation, use, or handling of the Products, including but not limited to:

• Loss of profits or business interruption
• Costs of removal, reinstallation, or replacement
• Personal injury or property damage resulting from misuse, improper installation, or negligence

Customer agrees to indemnify, defend, and hold harmless CF Maier Systems Inc., SCA, their affiliates, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, or expenses (including reasonable attorney's fees) arising from improper installation, failure to follow instructions, or misrepresentation of the Products.

4. Liability Release and Waiver

By signing this Agreement, Customer expressly releases and discharges CF Maier Systems Inc. and SCA from any and all claims, demands, actions, or causes of action, whether known or unknown, arising out of or related to:

• Participation in the SCA Upfitter Training Program
• Installation, handling, or operation of the Products
• Any injuries, losses, or damages sustained during or after such activities

Customer acknowledges that they assume full responsibility and risk for the installation and use of SCA Roof Products after certification.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
